Terms of Service
These Terms of Service ("Terms") govern your use of the Veramind Creative website and the services we provide, including website design and development, hosting and domain management, Google Ads management, and related digital marketing services (collectively, the "Services"). By engaging Veramind Creative or using our website, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our Services.
Who We Are
Veramind Creative ("we," "us," "our") is a web design, development, and digital marketing agency. These Terms apply to all clients and website visitors, alongside any separate proposal, statement of work, or service agreement you sign with us. If there is a conflict between these Terms and a signed proposal or agreement, the signed agreement controls.
Services
We provide services such as website design and development, domain and hosting management, Google Ads campaign management, and client portal access. The specific scope, deliverables, timeline, and pricing for your project or retainer will be outlined in a separate proposal, invoice, or agreement. We may update our general service offerings on our website from time to time.
Engagement and Payment
Project work (e.g., website builds) is typically billed per an agreed schedule (deposit, milestones, or final payment) as outlined in your proposal or invoice.
Recurring services (e.g., ongoing Google Ads management, hosting, or portal access) are billed on a monthly or other recurring basis as agreed, until cancelled by either party.
Invoices are due upon receipt unless otherwise stated. Late payments may result in pausing of work or suspension of services.
Fees paid for services already rendered are non-refundable except as required by law or as separately agreed in writing.
We cover the cost of hosting and domain registration for client websites as part of our service fees, unless you already own a domain registered or hosted elsewhere, in which case that domain remains under your own account and control. Google Ads media spend is billed separately and is your responsibility, typically paid directly to Google.
Client Responsibilities
You agree to provide timely access, content, credentials, and feedback needed for us to perform the Services. Delays in providing this information may delay project timelines. You are responsible for the accuracy of information you provide, and for maintaining the confidentiality of any account or portal credentials issued to you.
Ownership and Intellectual Property
Upon full payment for a project, ownership of final website deliverables created specifically for you transfers to you, excluding any third-party tools, templates, stock assets, or licensed software incorporated into the work, which remain subject to their original licenses. We retain the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing.
Until full payment is received, all deliverables remain the property of Veramind Creative.
Hosting and Domain Management
For most clients, we host your website on our hosting infrastructure (currently Hostinger) and cover the associated hosting costs as part of our service fees. Where we also register or manage your domain on your behalf, we cover that cost as well, unless you provide a domain you already own that is registered or hosted elsewhere.
Because we typically hold the hosting and/or domain accounts under our own infrastructure for the sites we host, please note:
We manage these accounts on your behalf as part of the Services, but the underlying website content and design deliverables remain your property once paid in full, as described below.
If you terminate our Services, we will work with you in good faith to transfer your domain and/or migrate your website to a hosting provider of your choice within a reasonable timeframe, provided your account is in good standing.
If a domain was registered or is held in our name on your behalf, we will initiate a transfer of ownership to you or your designated registrar upon request, subject to any applicable registrar transfer rules or waiting periods.
We are not responsible for delays or fees imposed by third-party registrars or hosting providers during a transfer.
Third-Party Platforms
Our Services may involve third-party platforms we do not own or control, including but not limited to Google Ads, Google Analytics, domain registrars, and hosting providers. We are not responsible for outages, policy changes, price changes, or performance issues caused by these third-party platforms. Your use of such platforms may also be subject to their own terms of service.
No Guarantee of Results
For advertising and marketing services (including Google Ads management), we will use professional judgment and industry best practices to manage campaigns. However, we do not guarantee specific results, rankings, click-through rates, conversion rates, or return on ad spend, as these depend on factors outside our control, including platform algorithms, market conditions, and competitor activity.
Limitation of Liability
To the fullest extent permitted by law, Veramind Creative shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Services or website, including lost profits or lost data. Our total liability for any claim arising from the Services shall not exceed the amount you paid us in the three (3) months preceding the claim.
Termination
Either party may terminate a recurring service arrangement with written notice, as specified in your service agreement or, absent such an agreement, with 30 days' written notice. We reserve the right to suspend or terminate access to our Services or client portal if we determine these Terms have been violated or payment is significantly overdue.
Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles, and any disputes shall be resolved in the courts located in Chester County, Pennsylvania.
Changes to These Terms
We may update these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms. The "Last updated" date above reflects the most recent revision.
